General Terms and Conditions of Membership of Hotelsquare – Accommodation Facilities
1. Subject matter and scope of application
1.1. These terms and conditions govern membership of and use of the Hotelsquare platform by accommodation facilities that wish to make themselves visible to B2B tour operators.
1.2. For the purposes of these terms and conditions, ‘Establishment’ means, by way of example and without limitation:
- hotels
- resorts
- residences
- aparthotels
- relais
- glamping
- boutique hotels
1.3. Membership of the platform is intended to enable the Establishment to:
- create a professional profile;
- be visible to tourism operators registered on Hotelsquare;
- receive contact requests or commercial enquiries from tour operators, DMCs, agencies, travel planners and other operators in the sector.
2. Free membership and possible future subscriptions
2.1. At present, membership of Hotelsquare is free for Properties, unless otherwise expressly communicated by Hotelsquare.
2.2. Hotelsquare reserves the right to introduce paid options in the future, such as:
- periodic subscriptions;
- premium plans;
- additional paid services;
- different levels of visibility or functionality.
2.3. In the event of the introduction of paid options:
- the Facility will be informed with adequate notice;
- the new economic and operational conditions will be communicated;
- the Facility may choose to accept the new conditions or request the cancellation of its profile, without prejudice to the fulfilment of any activities or requests already in progress.
3. Registration and requirements of the Establishment
3.1. To join the platform, the Establishment must complete the registration form and provide truthful, complete and up-to-date information.
3.2. The Establishment declares that it:
- is authorised to operate in the hospitality sector in accordance with current legislation;
- possesses any authorisations, licences, classifications, registrations or other requirements that may be required by law;
- be in compliance with applicable administrative, tax, insurance and social security obligations;
- be entitled to publish information, content, images and materials relating to its business.
3.3. Hotelsquare reserves the right to approve, reject or suspend a membership application, as well as to request documentation supporting the declarations made at any time.
4. Profile of the Establishment and publication of data on the platform
4.1. By registering and, if applicable, approving the profile, the Establishment authorises Hotelsquare to publish and make visible to registered users of the platform the data entered, including, by way of example:
- name of the establishment;
- location and areas of operation;
- category and type
- professional contacts;
- description of the property;
- services offered;
- images and presentation materials;
- any information useful for tourist planning.
4.2. The Property authorises Hotelsquare to use such data exclusively for purposes related to the operation of the platform, the promotion of the property within the network and the facilitation of contact with interested operators.
4.3. The Property is responsible for the accuracy, updating and lawfulness of the content published or transmitted to Hotelsquare.
4.4. Personal data is used in accordance with Hotelsquare’s privacy policy, which the Property declares to have read and understood.
5. Financial information, rates and commercial conditions
5.1. The platform may allow the Establishment to enter or communicate financial information, indicative rates, price ranges, conditions of sale or other commercial data useful to operators.
5.2. Unless otherwise agreed in writing, any rates, prices or conditions published or shared by the Establishment:
- are provided under the sole responsibility of the Establishment;
- must be truthful, up to date and consistent with actual commercial availability;
- do not constitute a binding commitment for Hotelsquare, which does not guarantee either the final price or the conclusion of any agreement.
5.3. The Property may request the updating of its commercial information at any time, without prejudice to the time required for processing.
5.2. Unless otherwise agreed in writing, any rates, prices or conditions published or shared by the Property:
- are provided under the sole responsibility of the Property;
- must be accurate, up to date and consistent with actual commercial availability;
- do not constitute a binding commitment for Hotelsquare, which does not guarantee either the final price or the conclusion of any agreement.
5.3. The Property may request the updating of its commercial information at any time, subject to the technical time required for updating the platform.
5.4. It is understood that the final economic conditions relating to stays, allotments, groups, availability, cancellation policies or other services will be agreed directly between the Property and the operator, unless otherwise specifically agreed.
6. Role of Hotelsquare
6.1. Hotelsquare acts as a B2B platform for visibility, matching, facilitating initial contact and, where applicable, organisational or commercial support.
6.2. Hotelsquare is not a party to any contract concluded between the Property and the tour operator, unless otherwise agreed in writing.
6.3. Any commercial relationship relating to bookings, allotments, groups, stays or other services is finalised directly between the Facility and the operator.
6.4. Hotelsquare does not guarantee a minimum number of requests, contacts, opportunities or commercial conversions.
7. Requests, contacts and management of the relationship with operators
7.1. Operators registered on Hotelsquare may send requests or expressions of interest to the Properties listed on the platform.
7.2. The Property undertakes, where possible, to handle such requests professionally, promptly and fairly, providing responses consistent with the information published.
7.3. Hotelsquare reserves the right to define the methods, times and levels of access to operator data, including for the purpose of protecting the proper functioning of the network.
7.4. The Establishment acknowledges that the receipt of a request does not automatically equate to a confirmed booking nor does it guarantee the conclusion of a commercial agreement.
8. Optional services and promotion of the property
8.1. Hotelsquare may in future offer Properties additional or optional services, including, by way of example:
- services for greater visibility on the platform;
- promotional tools;
- commercial support;
- integrations with third-party services;
- concierge services or guest assistance via linked platforms.
8.2. Where applicable, the Property may consider activating additional services, including those aimed at improving the perceived value of the end customer’s experience.
8.3. Any optional services will be governed by specific economic and operational conditions, which will be communicated separately.
9. Professional conduct and proper use of the platform
9.1. The Facility undertakes to behave in a manner inspired by fairness, transparency, reliability and professionalism towards:
- tour operators;
- other users of the platform;
- Hotelsquare.
9.2. The Property undertakes in particular:
- not to publish false, misleading or outdated information;
- not to use the platform in a manner contrary to the law or good faith;
- not to engage in practices that are unfair, deceptive or damaging to the image of Hotelsquare or other users;
- not to misuse the contacts obtained through the platform.
9.3. It is forbidden to use Hotelsquare for fraudulent purposes, unfair competition, misuse of the brand, abusive collection of contacts or other behaviour incompatible with the nature of the service.
10. Limitations of liability
10.1. Hotelsquare is not responsible for the accuracy of the information provided by operators or for the commercial decisions taken by the parties.
10.2. Hotelsquare is not liable for:
- failure to conclude agreements between operators and Establishments;
- cancellations, changes or non-performance attributable to the parties;
- indirect damages, loss of business opportunities or lost revenue resulting from the use or non-use of the platform.
10.3. The Establishment remains liable for the information published, the services actually offered and the legal obligations related to its business.
11. Suspension, limitation or exclusion of the profile
11.1. Hotelsquare may suspend, restrict or remove the Establishment’s profile, even without prior notice in serious cases, if it detects:
violations of these terms and conditions;
untrue or outdated information;
behaviour that damages the image or proper functioning of the platform;
conduct contrary to the law, professional ethics or network security.
11.2. The suspension or removal of the profile does not affect Hotelsquare’s right to protect itself in the appropriate forums and to claim compensation for any damages suffered.
12. Modification of the terms and conditions
12.1. Hotelsquare reserves the right to modify or update these terms and conditions, the rules of use of the platform and the functionality of the service at any time.
12.2. Changes will be communicated with reasonable notice, by email, platform notice or other appropriate means.
12.3. Continued use of the platform after the changes come into effect will constitute acceptance of the new terms and conditions.
12.4. In case of non-acceptance, the Establishment may request the deletion of its profile.
13. Withdrawal and deletion of profile
13.1. The Facility may at any time request the deactivation or deletion of its profile, except for the completion of any activities, contacts or commitments already in progress
13.2. Deleting your profile does not have retroactive effect on relationships already established with operators through the platform.
14. Applicable law and jurisdiction
14.1. These terms and conditions are governed by Italian law.
14.2. Any dispute relating to the interpretation, validity or application of these terms and conditions shall be settled exclusively by the court of the registered office of Hotelsquare, unless otherwise required by mandatory provisions of law.
